- You have the authority to enter into the agreement personally or on behalf of the company you have named, and to bind that company to the agreement with Springsyple.
- 'Customer' means any person, company, organization or firm purchasing jobs services for employers from Springsyple;
- 'Order Form' means an order for Services on a form provided by us (in any format) and approved by a Customer;
- 'Services' means all recruitment products and services made available by us from time to time;
Every company registered on the Site is able to post an unlimited number of jobs for free. In order to attract as much candidates as possible, Springsyple creates a cash reward solution that need to be financed by Customers.
Each Customer has his own rewards account for the payment of rewards for jobs he lists on the Site. This rewards account is used to deduct the reward and the fee charged by Springsyple and has no expiration date. It remains available for rewards as long as it has not been used.
Except otherwise agreed, the rewards account remains at the Customer’s disposal for distribution of rewards but automatically becomes the property of Springsyple and will not be refunded.
Springsyple also provides additional Services limited to a time period. If any Services to be used within any time period specified on the Order Form are not used within that period of time they may not be carried over into any subsequent period without our prior written consent. The Customer will be responsible for payment for any unused Services.
We never display a reward value for a job listed on the Site before:
- Customer feeds its rewards account with a sufficient amount;
- Customer payment is received and processed by Springsyple.
A job listed on the site will remain live for 30 days or such shorter time as we agree with the Customer. Any extension can be set from the editing page of the job. A single job is identified by its unique ID number.
It is your responsibility to ensure that you have the appropriate equipment and are connected to the appropriate services to enable you to list jobs to the Site.
Jobs you post on the Site may also appear on third party recruitment websites pursuant to agreements from time to time between Springsyple and the proprietors of such websites.
The Site supports the current and most recent previous versions of all popular browsers. If your browser is not supported, you most of time may still be able to access our site, but you may encounter some display issues.
Using Springsyple does not imply a replacement of the internal referencing solution made available by the employer to its employees for job also listed on the site. The employer has the possibility to exclude members of its staff from the reward system putted in place by Springsyple. In this case a precise statement will be posted on the jobs of the employer. The employer may, through its settings, disable or enable this exclusion.
Pricing and payment
When you feed your rewards account, a flat fee of 20% is deducted from the total amount you provide. Any discounts agreed are confidential and may not be disclosed by the Customer except those publicly known.
Additional services could be bought at the prices specified in the Springsyple services rate cards displayed on the Site and are guaranteed for the period stated on the order form.
All prices exclude VAT and taxes. All invoices are payable before We start to provide services as mentioned on the order.
Reference to customer’s name, trademarks and logo’s
Customer agrees that Springsyple may use the Customer's name, trademarks and logos in the context of providing its services.
Additionally, Customer agrees that Springsyple may mention Customer as a reference in Springsyple’s marketing materials (such as but not limited to websites and brochures), that Springsyple may use the Customer's name, trademarks and logos in this context and may present examples of the services provided to and the materials published on behalf of Customer.
Your use of this website
On top of the rules regarding the use of our Site as specified in the General Terms and Conditions, We have rules regarding the content and format of jobs posted on the Site. Their purpose is to ensure that users who search the site or the database get results which are presented as clearly and informatively as possible. You agree that we may, at our discretion and without liability to you, remove from the site any advertisement which is posted in breach of these rules. The rules may change from time to time and you are advised to refer to them regularly.
The rules are:
- No duplicating of jobs at the expense of other clients' jobs.
- Job advertisements placed on the Site must be for genuine vacancies only, and not for other products or services, either relating to or unrelated to recruitment including, but not limited to, affiliate schemes, pyramid selling schemes or any other so called 'business opportunity'.
- URLs or email links (live or text only) are not permitted in the body copy of the job description page.
- You agree to deal fairly and professionally with individuals you may contact using information from the candidate database and not do anything which may bring Springsyple into disrepute.
Any advertisements (including jobs that will be listed on the Site) which appear to discriminate on grounds of sex, race or disability are illegal and may result in proceedings being taken against both the advertiser and the publisher. Advertisements are accepted by Springsyple on the basis that the advertiser confirms that any requirement or qualification which may appear to discriminate illegally is in compliance with any exemption available under the relevant legislation. Notwithstanding this confirmation, if Springsyple nonetheless believe that an advertisement may be discriminatory Springsyple may at its own discretion either amend the advertisement or remove it from the Site without liability to you to make any refund of amounts paid or due to be paid in respect of the posting or otherwise and will inform you accordingly.
Responses to advertisements
You agree to deal fairly and professionally with individuals who may respond to an advertisement you have listed and not do anything which may bring Springsyple into disrepute.
We do not guarantee any response to your advertisement or that responses will be from individuals suitable for the job advertised. It is your responsibility to carry out such checks and procedures as are necessary to ensure that candidates are suitable for the job advertised and have the required qualifications and personal characteristics.
As part of Springsyple's commitment to getting customers the best possible response we reserve the right to amend some of the job details that you supply in order to optimize your advertisement.
Content and links
No other links are permitted on the Site than those provided by Springsyple. However, If otherwise agreed, If your advertisement links to another site, you are responsible for maintaining the links and for the content of your advertisement and the linked site. We may remove from the Site any advertisement which contains content or links to a website which, in our opinion, is defamatory, illegal or objectionable or will bring Springsyple into disrepute.
Database and use of the database
The material you are entitled to receive from the candidate database is determined by the product you have purchased from Us. On receipt of this material you may:
- Use, search or download it to your database using the “Candidate Search interface” and its associated functions for the purpose of finding suitable candidates for specific job vacancies that you or (if you are an employment agency or employment business) your client wish to fill.
- Use the information about the individuals contained in the database for the purpose of contacting them (either directly or through the Site depending on the product you have purchased) in relation to a specific job posting.
- Use the information only in connection with your own recruitment-related activities.
YOU MAY NOT:
- Supply, sell or license material from the candidate database, or a copy of it, to any other person, including another member of your group of companies.
- Download, search or view the database through any automated (e.g. "scraping") process.
- Contact the individuals on the database or make or allow any use of the information about those individuals, other than for the purpose of finding suitable candidates for specific job vacancies. You must, at all times, comply with the Data Privacy laws and all subsequent legislation and regulations.
- Access our candidate database from a non-authorized system.
Accounts, passwords and security
By completing the registration process, You open an account (including setting up a Springsyple ID and password). You are entirely responsible for maintaining the confidentiality of the information you hold for your account, including your password, and for any and all activity that occurs under your account as a result of your failing to keep this information secure and confidential. You agree to notify Springsyple immediately of any unauthorized use of your account or password, or any other breach of security. You may be held liable for losses incurred by Springsyple or any other user of or visitor to the Site due to someone else using your Springsyple ID, password or account as a result of your failing to keep your account information secure and confidential.
Usernames and passwords are for the sole use of the person to whom they are issued. Passwords must be kept confidential and secure. We may deny access to a username if we reasonably believe that it is being used by an unauthorized person or that the user is breaching these terms and conditions. Concurrent usage of a username is not allowed.
Springsyple cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations.
Registered persons subscribe automatically to the newsletter.
Disclosure of information
Springsyple may only disclose any information we have about You (including your identity) if we determine that such disclosure is necessary in connection with any investigation or complaint regarding your use of the Site, or to identify, contact or bring legal action against someone who may be causing injury to or interference with (either intentionally or unintentionally) Springsyple’s rights or property, or the rights or property of visitors or users of the Site, including Springsyple’s Customers.
Springsyple reserves the right at all times to disclose any information that Springsyple deems necessary to comply with any applicable law, regulation, legal process or governmental request. Springsyple also may disclose your information when Springsyple determines that applicable law requires or permits such disclosure, including exchanging information with other companies and organizations for fraud protection purposes.
You and Springsyple will each comply with all applicable laws and regulations. However, Springsyple is not responsible for compliance with any laws and/or regulations applicable specifically to You or to your industry other than general laws and regulations applicable for information technology services providers.
Limitation of liability
Except where prohibited by law, in no event will Springsyple be liable to You for any indirect, consequential, exemplary, incidental or punitive damages, including lost profits, even if Springsyple has been advised of the possibility of such damages.
If Springsyple is found to be liable to You for any damage or loss which arises out of or is in any way connected with your use of the Site or any Content and/or your use of Sprinsyple’s service and product offering, Springsyple’s liability shall in no event exceed the greater of (1) the total of any subscription or similar fees with respect to any service or feature of or on the Site paid in the six months prior to the date of the initial claim made against Springsyple, or (2) €100.00 (or US$125.00).
You agree that Springsyple will not be liable to you or to any third party for termination of your access to the Site as a result of your violation of these terms and conditions.
If any of the provisions of these terms and conditions are held by a court or other tribunal of competent jurisdiction to be void or unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary and replaced with a valid provision that best embodies the intent of these terms and conditions, so that these terms and conditions shall remain in full force and effect.
Changes to these terms and conditions and disputes
Springsyple has the discretion to update these terms and conditions at any time. When We do, We will post a notification on the main page of our Site and/or send you an email (when you have provided us your email address). We encourage Users to frequently check this page for any changes in order to stay informed. Your continued use of the Site and/or your continued use of Springsyple’s product and service offering following the posting of changes to these terms and conditions will be deemed as your acceptance of those changes.
